Agreement

If credit is granted, I, the undersigned, on behalf of the company named above (“Applicant”) understand that the standard terms of the sale are net 30 days following purchase. GST International, Inc. ("GST") may impose a service charge of 2% per month on any past-due balance with said charge being calculated from the date of default.  In consideration of GST extending credit, Applicant does hereby agree to pay for all goods, wares and merchandise consistent with the foregoing terms.  Applicant agrees that any disputes with invoices must be made within 7 business days of the invoice date.  All returns are subject to GST’s prior approval.


In the event of default and litigation arising from this agreement, Applicant agrees to pay GST’s reasonable attorney fees and costs, as well as service charges.  Applicant authorizes GST to investigate its credit history, bank references and any information deemed necessary to extend credit.  Applicant  further agrees to:  (i) immediately notify GST in writing, delivered in person or by certified mail return receipt requested, of any change in ownership, form of business,  or address, or the termination of a person's authority to incur charges under the account on behalf of Applicant; and (ii) indemnify GST for any loss incurred as  a result of Applicant’s failure to provide said written notice. This agreement shall remain in full force and effect until Applicant delivers written notice of revocation to GST and pays any outstanding balance due.  Applicant further agrees that, in the event of its default, GST will revoke all discounted pricing and  the full and complete retail price of any product, as stated in GST’s most-recently circulated Contractor Price List for the year in which Applicant ordered product, for which payment remains outstanding shall be due and payable.  This agreement is subject to the additional terms and conditions appended hereto.

Terms and Conditions

  1. QUOTATIONS:
    Written quotes for product will be honored for thirty (30) days from date of quotation.

  2. PURCHASE ORDERS:
    Prices on signed purchase orders will be honored for thirty (30) days from date of signing. Units will then be subject to storage charges and/or repricing based on current prices in effect.

  3. TAXES: 
    All direct taxes, either currently in place or imposed subsequent to this date, shall be paid by Applicant. All tax included prices are subject to change without notice with the imposition of any new taxes or changes to those in existence.

  4. TERMS AND PAYMENT:
    All terms, other than cash in advance, are subject to credit approval. Payment is due as described on the invoice terms. Applicant’s failure to pay on or before the due date shown on an invoice shall constitute a default under this agreement.  This agreement and any claim, controversy, dispute or cause of action based hereupon, arising out of, or relating to this agreement will be governed by the laws of the Sate of Nevada.  Upon the occurrence of a default, GST may enforce its rights hereunder in any manner prescribed or permitted by the laws of the State of Nevada. Applicant irrevocably and unconditionally: (i) agrees that any legal action, suit, or proceeding arising out of or relating to this agreement shall be brought exclusively in the courts of the State of Nevada or of the United States of America for the District of Nevada sitting in Washoe County, Nevada; and (ii) consents to the jurisdiction of the courts of the State of Nevada and of the United States of America for the District of Nevada sitting in Washoe County, Nevada in any such action, suit, or proceeding.

  5. TRANSPORTATION:
    a.    All sales are made FOB shipping point.
    b.    Orders will be shipped via standard carrier as specified by Applicant in advance.

  6. RETURNS/CLAIMS:
    a.    A restocking charge of twenty-five percent (25%) will be made on all material returned for credit.These  materials will only be accepted if returned within 30 days of delivery and after receiving the approval of a representative of Global Sealer Technologies. Materials must be delivered to GST’s warehouse, or such other place as may be designated, at the Applicant’s expense.
    b.    NO CREDIT WILL BE EXTENDED,NOR RETURNS PERMITTED, ON SPECIAL ORDER PRODUCT
    c.    Claims for refunds, damage or shortages must be made within 7 business days of invoice date.

  7.  SPECIAL ORDERS:
    a.    Special orders are subject to pricing at time of order. These orders may not be changed or cancelled once accepted by GST unless written consent is given by GST.
    b.    If Applicant has not taken delivery within 60 days of the promised delivery date, invoices will be issued and will be subject to GST’s normal payment terms.
    c.    ‘Special Order’ constitutes all products so designated as well as any product not listed on the GST price list.

  8. QUALITY AND CLAIMS:
    a.    It is Applicant’s responsibility to inspect and approve or disapprove of product prior to installation. If the product is deemed to be unsatisfactory, GST must be notified before any installation has begun. GST’s liability for defective product shall be limited to replacing the defective material after an inspection and approval by a GST representative.  In no event will GST be liable for consequential or incidental damages.
    b.    Except as expressly set forth herein, GST makes no warranties, express or implied, with respect to the products or materials it sells hereunder.
    c.    All product weights are established by GST and are subject to change without notice.

  9. FORCE MAJEURE:
    GST shall not be liable for any failure or delay of performance due to caus-es beyond its control including, but not limited to, acts of God or the public enemy, floods, fires, earthquakes, hostilities, war (declared or undeclared), acts of either general or particular application of any de jure or de facto government or any of its subdivisions, bureaus or agencies, strikes or other labor troubles whether direct or indirect, riots, insurrections, civil commotions, disease, famine, loss or shortage of labor, transportation, raw materials or energy sources or failure of unusual means of supply. Should a failure or delay in GST performance occur because of any of the foregoing, GST shall have the option of either cancelling an order or delaying performance hereunder for any reasonable period of time, during which the Agreement shall remain in full force and effect. GST shall notify Applicant as to the reason for its failure or delay in performance, and as to whether it has cancelled the order or delayed performance hereunder. If performance is delayed, GST shall notify Applicant as to the length of time the delay will continue. For any cause whatsoever, whether beyond GST’s control or not, GST’s liability for failure or delay in performance shall not include incidental or conse-quential damages.

  10. PERSONAL GUARANTY:
    In consideration of GST extending credit to Applicant, the undersigned personally and individually guarantees unconditionally full and prompt payment of past, present and future obligations and terms due GST from Applicant, and/or any successor in interest (corporate or non-corporate) to Applicant’s business, hereby waiving (i) notice of acceptance of this guaranty, (ii) notice of rendering services and/or sale of goods provided Applicant by GST, (iii) notice of default or change or extension of credit terms, (iv) rights of presentment, demand, protest and any statutory or common law notice of any kind, and (v) and right to require GST to exhaust any rights or remedies available to GST, including to proceed against any collateral which shall ever have been given to secure Applicant’s obligations hereunder.  The undersigned consents to any extension of time for payment and assert that this is a continuing guaranty of payment to GST until revoked in writing.  Any married individual signatory to this application represents that any credit granted Applicant under the subject account is an obligation incurred in the interest of his or her marriage or fami-ly and confers a community benefit.
